Terms of Service

1. Definitions

• “Service” — the HRMS SaaS application provided by us.
• “Workspace Owner” — the legal entity that signs up and operates a workspace.
• “Users” — individuals authorized by the Workspace Owner to access the Service.
• “Customer Data” — all data submitted to the Service by Workspace Owner or Users.

2. Account

You must be at least 18 and authorized to bind your organization. You are responsible for keeping login credentials confidential and for all activity that occurs under your account.

3. Trial & subscription

• New Workspaces start on a 14-day Trial plan with a 25-employee limit.
• After the trial, continued use requires a paid subscription. We will notify you 7 days before the trial ends.
• Subscription fees are payable in advance. All fees exclude GST, which is charged extra at applicable rates.
• You can downgrade or cancel at any time; fees already paid for the current billing period are non-refundable.

4. Acceptable use

You agree not to:

• Upload data you do not have the right to process
• Use the Service to harass, surveil or discriminate against employees in violation of law
• Reverse-engineer, resell, or build a competing service from the platform
• Attempt to bypass tenant isolation, rate limits, or security controls

5. Customer Data ownership

You retain all rights, title, and interest in Customer Data. You grant us a non-exclusive, worldwide licence to host, process, and transmit Customer Data solely for the purpose of providing the Service.

6. Confidentiality

Each party will protect the other’s confidential information using at least the same degree of care it uses for its own confidential information, and not less than a reasonable standard.

7. Service availability

We target 99.5% monthly uptime, measured excluding planned maintenance. Maintenance windows are notified at least 48 hours in advance, except for emergency security patches.

8. Warranties & disclaimer

The Service is provided “as is”. We disclaim all implied warranties to the maximum extent permitted by Indian law, including merchantability and fitness for a particular purpose. We do not warrant that the Service will be error-free or uninterrupted.

9. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service shall not exceed the fees you paid to us in the 12 months preceding the event giving rise to the claim. Neither party shall be liable for indirect, consequential, special, or punitive damages.

10. Indemnity

You will indemnify us against third-party claims arising out of (a) your Customer Data, or (b) your use of the Service in violation of these Terms.

11. Statutory compliance

While we provide tools to support Indian payroll compliance (PF, ESI, PT, TDS, gratuity), you remain solely responsible for your statutory filings, payments, and the accuracy of data submitted to authorities. We are not a tax or legal advisor.

12. Termination

Either party may terminate this agreement for material breach if not cured within 30 days of written notice. On termination, your Workspace becomes read-only for 30 days, then deleted. You may export your data at any time during the read-only window.

13. Governing law & jurisdiction

These Terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka.

14. Changes

We may update these Terms from time to time. Material changes will be notified by email to the Workspace Owner at least 30 days before they take effect.
